Welcome to the website of Haoou (hereinafter referred to as “we”, “us”, or “our”). By accessing or using our website (the “Site”), or by purchasing products from us, you agree to be bound by the following Terms & Conditions (the “Terms”). Please read these Terms carefully before using our Site or placing any order.
If you do not agree to all of these Terms, you must not access the Site or purchase our products.
1. General Information

These Terms apply to all users of the Site, including but not limited to browsers, customers, distributors, and contractors.
2. Products & Specifications
We strive to display accurate product descriptions, images, and specifications on our website. However, we do not warrant that product descriptions, colors, or other content are complete, reliable, current, or error-free.
- All product specifications (thermal conductivity, density, thickness, fire rating, etc.) are based on standard laboratory tests and may vary slightly under actual installation conditions.
- We reserve the right to modify product specifications without prior notice to reflect manufacturing improvements or changes in raw materials.
- For critical applications, customers are responsible for requesting official technical datasheets and test reports before ordering.
3. Quotations & Orders
Quotations:
All price quotations provided via email, contact form, or verbally are valid for 30 days from the date of issue, unless otherwise stated in writing. Quotations are based on the product type, quantity, packaging, and delivery terms specified. Any change in order quantity or specifications may result in a revised quotation.
Order Confirmation:
An order is considered confirmed only after we have issued a written order confirmation (via email or Proforma Invoice). We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspicion of fraudulent activity.
Samples:
Product samples are provided free of charge or at a nominal fee, as stated at the time of request. Shipping costs for samples are borne by the customer unless otherwise agreed.
4. Pricing & Payment
Pricing:
All prices are quoted in US Dollars (USD) unless otherwise specified. Prices are ex-works (EXW) from our factory in China, unless we have explicitly agreed to other Incoterms (e.g., FOB, CIF) in writing.
- Prices do not include customs duties, taxes, VAT, or other local charges, unless stated otherwise.
- We reserve the right to adjust prices due to raw material cost fluctuations, currency exchange rate changes, or government tax adjustments. Any price change will be communicated before order confirmation.
Payment Terms:
Payment methods accepted: Bank wire transfer (T/T), Letter of Credit (L/C at sight), or other methods as agreed in writing.
- For new customers: 30% deposit upon order confirmation, 70% balance before shipment (or against copy of Bill of Lading).
- For established customers with approved credit: Alternative terms may be offered in writing.
Late Payment:
If payment is not received by the agreed due date, we reserve the right to: (a) charge interest at 1.5% per month or the maximum legal rate, (b) suspend production or shipment, and (c) cancel the order without liability.
5. Shipping, Delivery & Risk of Loss
Delivery Terms:
Delivery timelines provided in quotations or order confirmations are estimates only. We are not liable for delays caused by customs clearance, weather, labor disputes, carrier issues, or other events beyond our reasonable control.
Risk of Loss:
Unless otherwise agreed in writing, risk of loss or damage to products transfers to the buyer upon delivery to the first carrier (for EXW terms) or as defined by the agreed Incoterms.
Inspection & Claims:
- Buyer must inspect all products within 7 days of receipt.
- Any claims for shortages, damage, or non-conformity must be submitted in writing (with photos/video evidence) within 7 days of delivery.
- Failure to notify us within this period constitutes acceptance of the products as conforming.
6. Returns, Refunds & Cancellations
Order Cancellation by Buyer:
- Cancellations requested before production begins: 100% refund of deposit, minus a 5% administrative fee.
- Cancellations requested after production begins: No refund of deposit. Buyer may pay remaining balance and receive finished goods.
- Cancellations requested after shipment: No refund or cancellation possible.
Returns:
Due to the nature of building materials (custom-cut or bulk quantities), we generally do not accept returns unless products are proven defective. If a return is authorized by us in writing:
- Buyer is responsible for return shipping costs and original shipping costs.
- Returned products must be unused, in original packaging, and accompanied by original documentation.
Defective Products:
If a manufacturing defect is confirmed by us (through testing or inspection), we will, at our sole discretion: (a) replace the defective products, (b) issue a credit note, or (c) refund the purchase price of the defective portion. We are not liable for consequential damages (see Section 8).
7. Intellectual Property
All content on this Site, including but not limited to text, graphics, logos, product images, technical drawings, videos, and software, is the property of Haoou or its content suppliers and is protected by international copyright and trademark laws.
You may not:
- Reproduce, distribute, modify, or create derivative works from any content without our prior written permission.
- Use our trademarks, trade names, or logos in any manner that may cause confusion or dilute our brand rights.
8. Limitation of Liability
To the maximum extent permitted by law:
- No Consequential Damages: In no event shall Haoou be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, or downtime costs) arising from the use of our products or website, even if we have been advised of the possibility of such damages.
- Maximum Liability: Our total aggregate liability arising from any order or use of our products shall not exceed the total purchase price paid by you for the specific product(s) giving rise to the claim.
- No Warranty for Improper Use: We are not liable for product failure caused by improper storage, installation, handling, or use outside the product’s specified temperature or application range.
9. Disclaimer of Warranties
Unless expressly stated in writing (e.g., a signed warranty agreement):
- Our products are provided “as is” and “with all faults”.
- We disclaim all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that our website will be uninterrupted, error-free, or free of viruses or harmful components.
Note: Some jurisdictions do not allow limitations on implied warranties. In such jurisdictions, the above limitation may not apply to you to the full extent.
10. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations (except payment obligations) if such delay or failure results from events beyond the party’s reasonable control, including but not limited to: natural disasters, war, civil unrest, government actions, pandemic/epidemic, fire, flood, explosion, strikes, supplier failures, or transportation interruptions.
If a force majeure event continues for more than 60 days, either party may cancel the affected order without liability.
11. Governing Law & Dispute Resolution
Governing Law: These Terms and any order or transaction shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.
Dispute Resolution:
Any dispute arising out of or relating to these Terms or any order shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, in accordance with its rules. The arbitration award shall be final and binding on both parties.
Mandatory Arbitration: By agreeing to these Terms, you waive any right to participate in a class action lawsuit or class-wide arbitration.
